1. Who you are contracting with

These Terms govern your use of Sakura Digital Market, trading as Niko.ai, ("we", "us", "our"), an AI-powered content creation service. By creating an account or using the service you agree to these Terms.

2. Eligibility

You must be of legal age in your jurisdiction. If you use the service on behalf of an organization, you represent you have authority to bind it.

3. The service

Sakura Digital Market provides a conversational AI agent that helps you plan and create content for social and editorial channels. We do not guarantee uninterrupted or error-free operation, and we may update, modify, or discontinue features at any time.

4. Acceptable use

You must not:

• use the service unlawfully, fraudulently, or to send spam;
• infringe intellectual property or privacy rights of others;
• probe, scan, scrape, or interfere with the security or integrity of the service;
• upload malware or attempt to circumvent technical limits;
• generate illegal content, hate speech, deepfakes intended to deceive, content that sexually exploits minors, or content designed to harass.

5. AI outputs

You are responsible for the prompts you submit, the use you make of generated content, verifying accuracy, and ensuring you have the rights to any input you provide. AI outputs may be inaccurate or incomplete and are not professional advice. You retain rights in your inputs and outputs subject to applicable law and these Terms.

6. Intellectual property

We retain all rights in the service, including software, models, branding, and documentation. We grant you a limited, non-exclusive, non-transferable right to use the service in accordance with your plan.

7. Restrictions

You may not reverse engineer, resell, or redistribute the service, or use it to build a competing product.

8. Your account

You must provide accurate information and keep your credentials confidential. You are responsible for activity under your account.

9. Payments

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, cancellations, and refunds are governed by the Paddle Buyer Terms.

10. Suspension and termination

We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated policy violations. On termination you may export your data for 30 days, after which we may delete it.

11. Disclaimers

To the fullest extent permitted by law, the service is provided "as is" without warranties of any kind, express or implied, including merchantability and fitness for a particular purpose.

12. Liability

To the fullest extent permitted by law, our aggregate liability is capped at the fees you paid us in the 12 months before the event giving rise to the claim. We are not liable for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded by law.

13. Indemnity

You will indemnify us against claims arising from your content, unlawful use of the service, or violation of these Terms.

14. Changes

We may update these Terms. Material changes will be communicated by email or in-app notice at least 14 days in advance.

15. Governing law

These Terms are governed by the laws of Brazil. Disputes will be resolved in the competent courts of that jurisdiction.
